Course Overview

After the 2008 Global Financial Crisis, the importance of international financial markets became more apparent in both the public and private spheres. Reams of new legislation have been passed, new regulatory agencies created, and new market infrastructures built. Accordingly, it is imperative for professionals involved in the financial sector, such as lawyers, traders, investment bankers and financial advisers, to have a proper understanding of the applicable laws, contractual arrangements and market dynamics in order to fulfil their legal obligations, service their clients, and appropriately manage various risks.

This course aims to equip students with an understanding of the legal, regulatory and contractual issues in international financial services and transactions and enhance their analytical skills through in-depth discussions of transactional documentation and case law. The course consists of the following seven modules:

  • Module 1: Introduction to Financial Products and Financial Markets
  • Module 2: Syndicated Loans
  • Module 3: Primary Equity Markets
  • Module 4: Debt securities
  • Module 5: Secondary Equity Markets
  • Module 6: Financial Derivatives
  • Module 7: Fintech and the Future of Financial Law

Learning Outcomes

By the end of this course, students will be able to:
  1. Develop and demonstrate an in-depth knowledge of financial law, financial products and financial markets (Capability 1.1 and 1.2)
  2. Demonstrate a proper understanding of how risk is managed by using different types of contractual arrangements (Capability 1.1 and 1.2)
  3. Apply legal and analytical skills to identify, discuss, and reason in financial law (Capability 2.1, 2.3, 3.1, 3.2 and 4.1)
  4. Describe your own-evidence-based ideas by way of written presentations (Capability 4.1, 5.1 and 5.2)

Workload Expectations

This is a standard 30-point course. There will be around 36 hours of lectures in this course. As a general guide, you should expect a workload of three hours outside of the classroom for each hour spent in class. The guideline for the total workload for this course is 300 hours.
